Prior to the date hereof, you had achieved your required share ownership level of 50,000 common shares, par value $0.01 per share, of Holdings (the “Common Shares”) under the Guidelines. You shall be required to maintain such level during the Term, subject to certain exceptions as set forth in the Guidelines. Webbadopted these Corporate Governance Guidelines (these “Guidelines”) to assist the Board in carrying out its responsibilities and to promote the effective functioning of the Board and its committees. The Board, on behalf of the Companyand its shareholders, provides oversight and general direction to the management of the Company.
